1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the website ifixecommerce.com and any services provided by I Fix Ecommerce LLC ("we," "us," or "our"), a California limited liability company based in Garden Grove, CA.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

I Fix Ecommerce LLC provides the following services, subject to individual project agreements:

  • Ecommerce website development (WooCommerce, Shopify, Wix)
  • Website maintenance and ongoing support
  • Digital marketing (Meta Ads, Google Ads, SEO)
  • Email and SMS marketing
  • Custom AI agent development and deployment
  • Business intelligence and analytics
  • Store re-platforming and migration

Specific deliverables, timelines, and scope of work are defined in individual project proposals or service agreements provided to each client before work begins.

3. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information about your business and requirements
  • Provide timely feedback and approvals to avoid project delays
  • Grant necessary access to your website, hosting, and third-party platforms as needed
  • Ensure that all content you provide (text, images, logos) does not infringe on third-party rights
  • Maintain the security of any access credentials shared with us
  • Comply with all applicable laws and regulations related to your business

4. Payment Terms

Payment terms are outlined in your individual project proposal or service agreement. General terms include:

  • Project-based work: Pricing is defined before work begins. A deposit may be required to start.
  • Retainer services: Billed monthly in advance. Month-to-month with no long-term contracts unless otherwise agreed.
  • Invoicing: Invoices are due upon receipt unless otherwise specified. Late payments may incur a 1.5% monthly fee.

All prices are in U.S. dollars. We reserve the right to pause or suspend services for accounts with overdue balances exceeding 30 days.

5. Intellectual Property

Client Deliverables

Upon full payment, you own all custom deliverables created specifically for your project, including custom code, page designs, ad creatives, and content written for your business.

Our Tools & Frameworks

We retain ownership of our proprietary tools, frameworks, AI systems, processes, and general-purpose code libraries that are used across multiple client projects. These are licensed for use within your project but are not transferred to you.

Third-Party Assets

Any third-party themes, plugins, fonts, stock images, or software used in your project remain subject to their respective licenses. We will inform you of any third-party dependencies and their licensing requirements.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial data, access credentials, customer data, and unpublished marketing materials.

Confidentiality obligations survive the termination of the service agreement and remain in effect indefinitely, unless the information becomes publicly available through no fault of the receiving party.

7. Limitation of Liability

To the maximum extent permitted by law, I Fix Ecommerce LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising from or related to our services.

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you to us in the 3 months preceding the claim.

8. Warranties & Disclaimers

We provide our services with reasonable skill and care. However, we do not guarantee specific business outcomes, including but not limited to revenue increases, traffic growth, or conversion rate improvements.

Our website and services are provided 'as is' without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

Retainer services: Either party may terminate the engagement with 14 days' written notice. No cancellation fees apply.

Project-based work: If you wish to cancel an in-progress project, you are responsible for payment for work completed up to the cancellation date.

Termination for cause: Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within 7 days of written notice.

Upon termination, we will provide you with all completed deliverables and assist with a reasonable transition. Access to our proprietary tools and AI systems will be discontinued.

10. Indemnification

You agree to indemnify and hold harmless I Fix Ecommerce LLC, its officers, and contractors from any claims, damages, losses, or expenses arising from: (a) your breach of these Terms, (b) your violation of any applicable law, or (c) content or materials you provide that infringe on third-party rights.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Orange County, California.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the 'Last updated' date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
